3. There is a Board Member that I
would like removed from the Board of Directors, what can I do?
What you would like to do is a "recall". A
recall is the right or procedure by which a Board Member may be
removed from office, before the end of his/ her term of office, by a
vote or written agreement of the people to be taken on the filing of a
properly executed petition. Once recall proceedings have begun, the
Board of Directors can agree to recall the petitioned Board Member,
or, if they are against recall, they can petition the State for Recall
Arbitration.
If board members
agree to the written recall, the petitioned Board Member MUST
step down immediately and hand over all official documents within 5
days.
As stated in
section 720.303(10)(a)(1) of the Florida Statutes:
“…any member of the
board of directors may be recalled or removed from the office with
or without cause by a majority of the total voting interest"
